You must accept this notice to use Gorlitsky Labs, including Contract Builder and Fair Ask.
Gorlitsky Labs, including Contract Builder and Fair Ask, is a personal portfolio piece and technical experiment, created by Garett A. Gorlitsky in his personal capacity solely to explore AI capabilities and software design. It is not affiliated with or endorsed by Anthropic or any employer.
Everything on this site, including every draft, redline, note, comment and other output the tools generate, is provided strictly for informational, educational and demonstration purposes. None of it is legal advice or any other professional advice. Using the site, uploading a document or contacting the developer does not create an attorney-client relationship, any other professional-client relationship, or a fiduciary duty of any kind. For advice about a specific legal issue, consult a lawyer licensed in your jurisdiction.
The tools use artificial intelligence (large language models), which can hallucinate and can produce inaccurate, incomplete or outdated information, including statements about the law or the market. They may misread a document or miss an important issue. There is no guarantee of accuracy, completeness or reliability. The site and all output are provided "as is" and "as available," without warranties of any kind, express or implied, including any warranties of merchantability, fitness for a particular purpose and non-infringement. To the fullest extent the law allows, the developer is not liable for any loss arising from use of, or reliance on, the site or its output.
Never submit confidential, privileged, sensitive, proprietary or personally identifying information, including client documents you are not authorized to share. What you upload or send here is not protected by the attorney-client privilege, the work-product doctrine or any duty of confidentiality. Use fictional, public or fully redacted documents.
This site and its demonstrations are not intended as attorney advertising or as a solicitation for legal services in any jurisdiction.
Upload a term sheet or deal memo and your template, plus a precedent if you have one. Contract Builder drafts the agreement from your template and adds a note to each deal point. The note says where the point came from, in the term sheet or the precedent, or why the template's language had to change: a business term, a market change, or a change in law.
The business deal: parties, fees, term, rights and anything else that was agreed.
Your form. Its structure, defined terms and house style are kept. Optional: a precedent, a prior signed deal to follow where the term sheet is silent.
Each deal point carries a comment that gives its source or its reason. Open items are flagged, not guessed. Plus a redline against your template.
Larkmoor Bank & Trust extends a $5 million revolving line of credit to Cobalt Ridge Manufacturing. Contract Builder drafted it for the bank from the bank's 2019 loan form, the term sheet, and the borrower's 2023 loan as precedent. Both companies are invented. This is an actual Contract Builder run, not a mock-up. Click a note to find its clause, or switch to the inputs.

Use fictional, public or fully redacted documents. You'll get a Word draft with the notes as comments, a redline against your template, and a PDF to read on your phone.
Gorlitsky Labs is a personal research project by Garett A. Gorlitsky, an entertainment and technology transactions attorney. Each tool tries one narrow job a contracts lawyer does every week and asks whether AI can do it well enough to be useful. Both tools run on Claude through Anthropic's API.
